Halo App End User License Agreement

The license terms and conditions for using the Halo on-device deepfake-detection application.
1. License grant
This End User License Agreement ("EULA") is a binding agreement between you and Reality Inc., a Delaware corporation doing business as Scam.ai ("ScamAI") governing your use of the Halo application and related software and updates ("Halo"). Subject to your compliance with this EULA and any applicable subscription or Order, ScamAI grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use Halo on devices you own or control, solely for your internal business use.
2. License restrictions
You will not, and will not permit others to: copy (except as necessary for authorized installation), modify, or create derivative works of Halo; reverse engineer, decompile, or disassemble Halo except to the extent such restriction is prohibited by law; rent, lease, sell, sublicense, distribute, or provide Halo as a service to third parties; remove or alter proprietary notices; circumvent license, security, or usage-control mechanisms; or use Halo to develop a competing product or model. All rights not expressly granted are reserved.
3. On-device processing and your responsibilities
Halo is designed to perform detection on your device in real time; it does not record or transmit your call media to ScamAI for analysis. Halo may send limited operational, licensing, and diagnostic data as described in the Privacy Policy. You are responsible for using Halo in compliance with applicable law, including obtaining any notice or consent required to run detection in your meetings, calls, or recordings.
4. Ownership; updates; third-party components
Halo is licensed, not sold. ScamAI and its licensors retain all right, title, and interest in Halo and all related intellectual property. We may provide updates, upgrades, and patches, which are governed by this EULA unless accompanied by separate terms, and we may modify or discontinue features. Halo may include third-party or open-source components subject to their own license terms, which apply to those components.
5. Export and government use
You will comply with applicable export-control and sanctions laws and will not export or use Halo in violation of them. Halo is a "commercial item"; U.S. Government users receive only the rights set out in this EULA.
6. Disclaimers and limitation of liability
HALO IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, AND DETECTION MAY PRODUCE FALSE POSITIVES OR FALSE NEGATIVES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCAMAI WILL NOT BE LIABLE FOR INDIRECT OR CONSEQUENTIAL DAMAGES, AND ITS TOTAL AGGREGATE LIABILITY RELATED TO HALO WILL NOT EXCEED THE AMOUNTS YOU PAID FOR HALO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. YOU ARE RESPONSIBLE FOR DECISIONS YOU MAKE BASED ON HALO OUTPUT.
7. Termination and governing law
This EULA and your license terminate automatically if you breach it or your subscription ends; on termination you must cease using and remove Halo. Sections concerning ownership, restrictions, disclaimers, and liability survive. This EULA is governed by the laws of the State of Delaware, USA, excluding conflict-of-laws rules. If any provision is unenforceable, the remainder stays in effect.
